1. Introduction

Welcome to Depolay ("we," "our," or "us"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Depolay is a subscription-based Software-as-a-Service (SaaS) platform designed to help merchants manage inventory, orders, and basic shipment tracking through a web dashboard.

Important Notice: Depolay is NOT a marketplace. We do not facilitate payments between merchants and their customers, and we do not handle logistics or physical goods. Depolay is purely a software provider offering tools for internal business management.

3. Eligibility and Accounts

To use Depolay, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

4. License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during an active subscription, subject to these Terms.

5. Acceptable Use

You agree not to:

• Use the Service for unlawful activities or to violate applicable laws;
• Attempt unauthorized access to accounts, systems, or networks;
• Reverse engineer, decompile, or attempt to extract source code from the Service;
• Disrupt, overload, or interfere with the Service or its security;
• Upload malicious code, or abuse the Service to harm others.

6. Subscriptions and Payments

• Fees: You agree to pay the monthly or yearly subscription fees shown for the plan you select.
• Billing: Subscription fees are billed in advance on a recurring basis unless you cancel.
• Payment Processing: Payments are processed by Paddle (our Merchant of Record). Depolay does not store or process full payment card details.
• Pricing Changes: We may change plans or pricing. If we change pricing, we will provide reasonable prior notice and changes will apply from your next billing cycle.

7. Cancellation and Termination

You may cancel your subscription at any time via your account dashboard. Your cancellation will take effect at the end of the current paid term unless otherwise stated at checkout.

We may suspend or terminate your access if you violate these Terms or if your use of the Service creates a security risk, causes harm to others, or violates applicable laws. Where reasonable, we will attempt to provide notice.

8. Service Availability and Disclaimers

The Service is provided on an “as is” and “as available” basis. We do not guarantee that the Service will be uninterrupted, error-free, or available at all times. Scheduled maintenance or unforeseen events may result in temporary downtime.

9. Limitation of Liability

To the maximum extent permitted by law, Depolay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service;
• Any conduct or content of any third party on the Service;
• Any unauthorized access, use, or alteration of your transmissions or content.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to its conflict of law provisions.
